General Provisions
Term
This Agreement becomes effective upon the Client’s purchase of the Done For You Course Creation Services and will remain in force until the completion of the Project. The Contractor will provide these services as an independent contractor, according to the terms outlined in this Agreement, Exhibit A, and any other exhibits that may be added and agreed upon by both Parties.
Services and Warranties
The services described in this Agreement and Exhibit A will be provided by the Parties as follows:
Contractor’s Warranties:
- The Contractor has the expertise, skills, qualifications, and resources necessary to provide the Services.
- The Contractor will complete the Services within the timeframes specified in Exhibit A.
- The Contractor will comply with all applicable laws and regulations in performing the Services.
- The Contractor has full authority to enter into this Agreement and perform the Services.
- The Contractor has no conflicts of interest with any third parties that would interfere with this Agreement.
Client’s Warranties:
- The Client has full authority to enter into this Agreement and grant the rights outlined herein.
- The Client has no conflicting agreements with any other parties.
- All materials (text, images, artwork) provided by the Client are either owned by the Client or properly licensed for use.
- The Client’s materials do not infringe on third-party rights, including trademarks.
- The Client is responsible for the accuracy and legality of all information about their products and services provided to the Contractor.
Sub-Par Work or Performance
All work performed by the Contractor is subject to the Client’s review and approval. If the Client deems the work unsatisfactory, the Contractor agrees to promptly fix, update, or revise the work to meet the Client’s standards at no additional cost.
Compensation
The Client agrees to pay the Contractor the fees in Australian dollars as outlined in Exhibit A.
No Refunds
All sales are final. The Contractor does not offer refunds under any circumstances. If the Client is unsatisfied with the work, the provisions under "Sub-Par Work or Performance" will apply.
Confidentiality
The Contractor agrees to keep all confidential and proprietary information of the Client private, both during and after the term of this Agreement. Confidential information includes technical, business, or any other proprietary details about the Client’s products, services, or business strategies. The Contractor will not disclose such information to any third party without written consent from the Client, except where legally required or in specific cases outlined in this section.
Upon request, the Contractor will return all materials containing confidential information to the Client. The confidentiality obligations in this Agreement will survive for ten (10) years after the Agreement’s termination.
Ownership of Services
The Contractor acknowledges that all work produced under this Agreement is the sole property of the Client. The Contractor assigns all rights, titles, and interests in the Services to the Client. The Contractor agrees to assist the Client in enforcing any proprietary rights related to the Services.
Indemnification
The Contractor agrees to indemnify and hold the Client harmless from any claims, damages, or expenses arising from the Contractor’s negligence or breach of this Agreement. The Client agrees to do the same for the Contractor, unless the claim arises from the Contractor’s misconduct or breach of this Agreement.
Choice of Law and Jurisdiction
This Agreement will be governed by the laws of Queensland, Australia.
Limitation of Liability
The Contractor is not liable for any delays, losses, or damages resulting from events beyond their control, including natural disasters, public unrest, or communication issues. In such cases, the Contractor will make every effort to notify the Client promptly.
Miscellaneous
- If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions will remain in full force.
- Any rights or obligations that should survive the termination of this Agreement will do so, including representations, warranties, and confidentiality obligations.
- Failure to enforce any provision of this Agreement does not constitute a waiver of that provision.
- This Agreement, along with its attachments, constitutes the entire agreement between the Parties and can only be modified through a written document signed by both Parties.
Exhibit A: Description of Works
Objective
The Contractor will provide Done For You Course Creation and Funnel Setup services, which include:
- 4 x 45-minute strategy sessions
- Course platform setup
- Lead generation funnel to the sales page (Client to provide all copy)
- Options for lead generation: downloadable content, webinar, quiz, or video series
- Setup of upsells, downsells, and bumps (if supported by the Client’s platform)
- Email nurture sequence setup
- Course creation outline and project management
- Uploading all curriculum materials (videos, workbooks, audios, text—Client to provide)
- Adding quizzes to modules (Client to provide copy)
- Setting up course completion actions (e.g., final quiz/survey—Client to provide copy)
- Offboarding sequence setup (Client to provide copy)
- Integration with email marketing platform, welcome emails, and drip release emails (Client to provide copy)
- Payment gateway integration (one gateway)
- Creation of course sales page (Client to provide up to 1,500 words of copy)
- Domain or subdomain connection (one domain only)
- Additional integrations (e.g., Facebook Pixel, Google Analytics)
Ongoing maintenance is not included in this Agreement.
Compensation
Client agrees to pay the Contractor through one of the following options:
- $1,597 AUD upfront
OR
- $420 AUD upfront, followed by three additional payments of $420 AUD at two-week intervals.
Client will reimburse the Contractor for any additional costs incurred (e.g., stock photography, customized fonts) after gaining Client approval.
Project Schedule
The Contractor will complete the project within four (4) weeks of receiving all required content from the Client. The Client agrees to:
- Provide all assets and copy as outlined in the project scope.
- Review and approve work within designated timeframes.
Amendments to Work
Two rounds of amendments are included at no extra cost, provided the changes don’t significantly alter the project scope. Additional changes may result in a revised quote.
Rush Jobs
For rush work requests, the Client will be charged an additional $150 AUD per hour.
Delays to Project
If the Client causes project delays, a 5% delay fee (based on the total project cost) will be charged for each 7-day period that delays project completion.
